Terms of Service
Last updated: March 2026
Services
I provide web development services including website design, development, and related consulting. Specific deliverables, timelines, and pricing are outlined in individual project proposals.
Project Agreements
All projects require a signed agreement or accepted proposal before work begins. This agreement will outline the scope of work, timeline, payment terms, and other project-specific details.
Payment Terms
Payment terms are specified in each project proposal. Typical terms include:
- 50% deposit to begin work
- Milestone payments as specified
- Final payment before launch
Intellectual Property
Upon full payment, you receive full ownership of all custom code and designs created specifically for your project. Third-party tools, libraries, and assets remain under their respective licenses.
Revisions
Each project includes a specified number of revision rounds. Additional revisions beyond the agreed scope may incur additional charges.
Support
All projects include 30 days of post-launch support for bug fixes and minor adjustments. Ongoing support and maintenance packages are available separately.
Limitation of Liability
I am not liable for any indirect, incidental, or consequential damages arising from the use of services or deliverables. Total liability is limited to the amount paid for the specific service.
Termination
Either party may terminate a project with written notice. In case of termination, payment is due for all work completed up to that point.
Approval & Acceptance
Upon delivery of completed work, you have 14 business days to review and provide feedback. If no response is received within 14 business days, the deliverables are considered approved and final payment is due.
Scope Changes
Work not described in the original project agreement is outside scope. Additional features, pages, or functionality require a separate quote and written approval before work begins.
Independent Contractor
I operate as an independent contractor. This agreement does not create a partnership, joint venture, or employment relationship between us.
Client Content & Indemnification
You warrant that all content provided (text, images, logos, media) is owned by or licensed to you. You agree to indemnify and hold me harmless against any claims arising from client-provided content.
Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of a project. This includes business strategies, login credentials, and any non-public information.
Governing Law
These terms and any project agreements are governed by the laws of the State of New York. Any disputes shall be resolved through good-faith negotiation. If unresolved, disputes will be settled through binding arbitration in Suffolk County, New York.
Changes to Terms
These terms may be updated from time to time. Continued use of this website after changes constitutes acceptance of the new terms.
